Saudi Printing & Packaging Company is a Saudi shareholding company focusing on both Publishing and packaging sectors registered in Kingdom of Saudi Arabia under the commercial registration No: 1010219709 issued in Riyadh city on 1st Jumadah Alawal 1427H (corresponding to 28th May 2006G) based on the decree of Ministry of Commerce and Industry No. 104dated on 20th Rabea Altani 1428H (corresponding to 7th May 2007G).

Saudi Printing & Packaging Company was established under the name “Al-Madina Printing & Publishing Co.” in 1963. During the year 2007, its name has been changed to Saudi Printing & Packaging Company. 30% of its shares were brought out to the public offering during this year, knowing that the Saudi Research & Marketing Group “SRMG” and its subsidiaries hold 70% of Saudi Printing & Packaging Company’s shares.

The company features developed newspapers printing centers in Riyadh, Jeddah and Dammam. The company prints a number of major newspapers such as Alsharq Al-Awsat, Al-Eqtisadiah, Al-Riyadiah, Arab News, Al-Watan and others, in addition to serial commercial publications. Additionally, the company works in the field of packaging and plastic industry and has factories in Sharjah, Abu Dhabi, Riyadh, Jeddah, Al-Madinah Al-Munawwarah.

Mr. Adel Ben Marzouq Al Nasser

Mr. Adel Ben Marzouq Al Nasser has held a number of leading positions in banking institutions and some banks like deputy managing director of SABB. He got a diploma from the Institute of Bankers- London- in 1986. In addition he has attended a lot of training courses in management, finance, and others.
He has been holding lots of senior positions. Now, he is a member of the board of directors in Saudi Research & Media Group as well as Alittefaq Steel Products Co.

Dr. Mohammad Amin Dawood Kashqari

Dr. Kashqari has a long and distinguished experience. He held a number of scientific positions like a professor and head of department of chemical engineering, faculty of engineering, King Abdulaziz University. Over the past 30 years, he held many leading positions in SAFOLA Group.
Dr. Kashqari got the bachelor degree, chemical engineering, King Fahad University of Petroleum and Minerals-1974, also he got MASTER and PHD from STATFORD university-USA in 1976 & 1982. He was appointed as a deputy chairman of the board on 24th December 2017 till the end of the current assembly on 6th May 2018.

Mr. Al-Dowais has great experience in managing companies as he led many senior position in all companies of Saudi Research & Media Group over 11 years. Mr. Al-Dowais got his university degree, major: translation and has got lots of training courses in administration and Finance and digital platforms.

Dr. Turki bin Omar Saleh Buqshan has lots of practical experience since 1988 in the field of high education and consultancy. Moreover, he held many vice deans of universities in Saudi Arabia. Dr. Turki has got PHD from Pond University, Account department – Australia.
He is right now a board member in Saudi Research & Media Group.

Mr. Khalid Mohammed Alhuqail

Mr. Khalid Al-Huqail is highly experienced in petrochemicals industry and marketing in addition to risk management and companies’ establishment. Over 18 years he led several important positions in SABIC like deputy General Manager and the manager of risk management and insurance department (Saudia) Mr. Alhuqail has a bachelor in business administration – Hamlin University-USA 1985. Also, he has several training courses in the field of petrochemicals, insurance, marketing and money management, as well as getting training in risk management in the international institutes, London.

Mr. Mohammed has a long and distinguished experience in the field of packaging and plastic industry since he previously worked as a General Manager in Alrowad national company for plastics and the chairman of Rowad Global Packaging Co. Ltd. And Rowad Intl. Geosynthetic Co. For 16 years. Mr. Allaboon has Master’s degree in Organic Chemistry, California University USA 1982 and bachelor in chemistry, King Soud University 1977.

Mr. Mohammed Abdulfatah Nazer

Mr. Mohammed Abdulfatah Nazer has over 11 years of experience in finance in major companies such as Goldman Sachs Saudi Arabia, J.P. Morgan in New York, Jadwa Investment, Barclays Capital, and Proctor & Gamble. Currently, Mr. Nazer is the Chief Financial Officer at Saudi Research & Media Group. And, Mr. Nazer is a board member of Argaam Investment Company.

Mr. Nazer has an MBA from The Wharton School at the University of Pennsylvania and an undergraduate degree from New York University.

Mr. Mohammed Al Amaj has long experience more than 23 years in.  in the credit sector, corporate banking and financial management such as Saudi British Bank, Arab National Bank of Saudi Arabi and Saudi Telecom company.

Mr. Al Amaj holds BA from Western Washington University.

The Board of Directors formed three committees to supervise the main business of the Company in accordance with its statute as follows:

Executive Committee

The current executive committee consists of three members of the Board of Directors. As part of its scope of executive responsibilities entrusted by the Board, the executive committee is responsible for overseeing the implementation of the general operational performance, raising proposals to the Board of Directors about the appointment of the executive management members, and the strategic plans of the Company.

Audit Committee

The Audit Committee consists of four members, including two non executive board members, and two members from outside the board members specialized in financial and accounting matters.
The functions and responsibilities of this committee include studying the internal control system, and supervising the internal audit department in the Company in order to verify its effectiveness in the implementation of actions and tasks approved by the Board of Directors, as well as the study of internal audit reports to follow up on the implementation of corrective action plans of the observations and recommendations contained therein.
The responsibilities of the Audit Committee also include making recommendations to the Board of Directors to appoint or terminate external auditors, agree on their fees, ensure their independence, and follow up on their performance, in addition to studying and reviewing the audit plan with the external auditor, as well as analyzing their comments on the consolidated financial statements of the Group, and following up on them with the review of quarterly and annual financial statements prior to submission, voting and recommendation to the Board of Directors.
Furthermore, The Committee studies and recommends the adopted accounting policies to the Board of Directors, and evaluates the effectiveness of the Group’s risk management assessment along with the steps taken by the Company management to monitor and respond to these risks.

Nomination and Remuneration Committee

This Committee consists of three members. The responsibilities and duties of this Committee are to recommend to the Board of Directors nominations to the Board in accordance with approved policies and standards, in addition to an annual review of the needs of required skills for membership of the Board of Directors. The committee also reviews the restructuring and composition of the Board of Directors, makes recommendations regarding changes that can be made, identifies weaknesses and strengths in the Board of Directors. Ensures on an annual basis the independence of the independent members. The responsibilities of the Nomination and Remuneration Committee also include developing clear policies for the compensation and remuneration of Board members and senior executives.
